Affiliate Program Terms

1. Acceptance

By submitting an application to the Turbine Affiliate Program (the "Program"), you agree to be bound by these Affiliate Program Terms (the "Affiliate Terms"), our Terms of Service, and any additional policies referenced here. If you do not agree, do not submit an application and do not participate in the Program. The Program is operated by Ojo Network Inc. ("Turbine", "we", "us").

2. Eligibility

To participate, you must be at least 18 years old, have the legal capacity to enter a binding agreement, and not be a resident of, citizen of, or located in any jurisdiction where the Turbine platform is unavailable under our Terms of Service. You may not participate if you are on any U.S. government sanctions list, or are otherwise prohibited from receiving services from a U.S. company.

Approval is at our sole discretion. We may deny, suspend, or terminate any application or account at any time, with or without cause, and with or without notice.

3. Commission and Attribution

Approved affiliates earn fifteen percent (15%) of net paid Pro subscription revenue attributed to their referral link, for the lifetime of each referred customer's paid subscription. "Net" means gross subscription revenue received by Turbine from the referred customer, less refunds, chargebacks, processor fees, taxes, and any promotional discounts.

Attribution is determined solely by our referral tracking system. A referral is attributed to you when a new user first signs up through a link containing your referral code. We may, at our discretion, resolve attribution disputes, exclude referrals that appear fraudulent or self-dealing, and adjust commissions to reflect refunds, chargebacks, or cancellations.

Commissions are capped at one hundred thousand U.S. dollars ($100,000) per affiliate per calendar year. We may revise commission rates, caps, and structure prospectively on written notice (including by email or by posting an updated version of these Affiliate Terms).

4. Payments

Commissions accrue to your account as referred customers pay their Pro subscription invoices. You may request a payout of your available balance at any time through the affiliate dashboard. There is no minimum payout amount.

Payouts are processed through Stripe Connect. You must complete Stripe-hosted onboarding, including any required identity and tax verification, before any commission can be paid. Funds are transferred to your Stripe account balance; you select your withdrawal speed (for example, instant or standard ACH) inside Stripe, and any Stripe-imposed fees for the selected speed are your responsibility.

You are solely responsible for providing accurate payment information and for any losses caused by incorrect information. We may withhold or reverse payment pending receipt of required tax documentation (see Section 5), investigation of suspected fraud or Affiliate Terms violations, or resolution of refunds and chargebacks.

Unclaimed commissions older than twelve (12) months from the date they accrue may be forfeited.

5. Taxes

You are solely responsible for all taxes on commissions you earn. Commissions are paid gross, without withholding, except where required by law. Turbine is not your employer, partner, or joint venturer; you are an independent contractor for tax purposes.

U.S. affiliates must provide a completed IRS Form W-9 before any commission is paid. Non-U.S. affiliates must provide the applicable IRS Form W-8 (e.g., W-8BEN or W-8BEN-E). We may require additional tax or identity documentation. If cumulative payments to a U.S. affiliate in a calendar year equal or exceed six hundred U.S. dollars ($600), we will issue an IRS Form 1099 (or any successor form). You are responsible for reporting and paying all applicable federal, state, local, and foreign taxes on your commissions.

You agree to indemnify Turbine against any tax liability, penalty, or interest we incur as a result of inaccurate or incomplete tax information you provide.

6. Regulatory Compliance; Promotional Conduct

Turbine operates in connection with event contracts listed on U.S. Commodity Futures Trading Commission (CFTC) regulated designated contract markets, including Kalshi. Promotional content you create in connection with the Program is subject to federal commodities and consumer protection laws, including but not limited to rules under the Commodity Exchange Act and the Federal Trade Commission Act.

You agree that you will NOT:

  • Make any guarantee or assurance of profit, income, or specific trading results, including statements like "guaranteed returns," "risk-free," "you will make X," or any similar claim.
  • Present simulated, hypothetical, or backtested performance without clearly labeling it as such and without the CFTC Regulation 4.41(b) hypothetical-performance disclaimer where applicable.
  • Provide personalized trading advice, act as a commodity trading advisor, commodity pool operator, introducing broker, or futures commission merchant, or otherwise solicit trades in a manner that would require registration with the CFTC, NFA, SEC, FINRA, or any state regulator, unless you are properly registered and have notified us in writing.
  • Make any statement that Turbine or its products are approved, endorsed, or registered by the CFTC, NFA, SEC, FINRA, or any other regulator.
  • Imply any affiliation with Turbine beyond your status as an independent affiliate, or present yourself as an employee, agent, spokesperson, or representative of Turbine.
  • Target, market to, or knowingly sign up users located in jurisdictions where the Turbine platform is not available, or users under the age of eighteen (18).
  • Engage in fraud, bot traffic, cookie stuffing, typo-squatting, trademark bidding on "Turbine" or substantially similar terms in paid search, incentivized traffic, spam, or any other deceptive or manipulative practice.
  • Send unsolicited commercial email (spam) or any communication that violates the CAN-SPAM Act, TCPA, GDPR, CASL, or any other applicable anti-spam or privacy law.
  • Use the Turbine name, marks, logos, or content in a manner that is misleading, disparaging, or inconsistent with our brand guidelines.
  • Copy, scrape, or reverse-engineer Turbine's software, market data, or platform functionality.

You must disclose your affiliate relationship with Turbine in all promotional content, clearly and conspicuously, in a manner that complies with the FTC Endorsement Guides (16 C.F.R. Part 255) and any applicable platform rules. A disclosure such as "I earn a commission when you sign up through this link" placed near each affiliate link is generally required.

7. Risk Disclosures in Your Content

Any content you publish that promotes Turbine or references trading on Turbine must include a plain-language risk disclosure substantially similar to: "Trading event contracts involves substantial risk of loss and is not suitable for every investor. Past performance does not guarantee future results."

8. License

Subject to your continued compliance with these Affiliate Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Turbine-provided referral links, logos, and approved promotional materials solely for the purpose of participating in the Program. All intellectual property rights in Turbine's marks and materials remain with us. This license terminates automatically on termination of your participation.

9. Confidentiality

Non-public information you receive through the Program, including commission rates, payout data, unreleased features, and platform metrics, is confidential. You may not disclose it to third parties without our prior written consent, except as required by law.

10. Termination

We may suspend or terminate your participation, withhold or forfeit unpaid commissions, and pursue any other available remedy if we determine, in our sole discretion, that you have breached these Affiliate Terms, our Terms of Service, or any applicable law, or that your participation creates legal, reputational, regulatory, or financial risk to Turbine. You may terminate your participation at any time by written notice to affiliates@turbinefi.com. On termination, accrued but unpaid commissions that are not forfeited under these Affiliate Terms will be paid on the next regular payout cycle.

11. Disclaimers

The Program is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Program, referral tracking, or reporting will be uninterrupted, error-free, or free of loss.

12. Limitation of Liability

To the maximum extent permitted by law, Turbine and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Program. Our total aggregate liability under these Affiliate Terms will not exceed the total commissions paid to you in the six (6) months preceding the event giving rise to the claim.

13. Indemnification

You will defend, indemnify, and hold harmless Turbine and its affiliates, officers, employees, and agents from and against any claim, demand, loss, liability, damages, fines, penalties, or expense (including reasonable attorneys' fees) arising out of or related to (a) your promotional content or conduct, (b) your breach of these Affiliate Terms or any applicable law, (c) your tax obligations, or (d) any claim by a third party that your activities violated their rights.

14. Changes

We may update these Affiliate Terms at any time. Material changes will be communicated by email or through the affiliate dashboard. Your continued participation after the effective date of any change constitutes acceptance of the updated Affiliate Terms.

15. Governing Law; Disputes

These Affiliate Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there. The parties waive any right to a jury trial.

16. Miscellaneous

These Affiliate Terms, together with our Terms of Service, constitute the entire agreement between you and Turbine regarding the Program. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign your rights under these Affiliate Terms without our prior written consent. We may assign freely.
